1. Acceptance of Terms
By accessing or using the Aalto Care dental practice management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including dentists, orthodontists, clinic administrators, and staff members.
2. Description of Service
Aalto Care provides a cloud-based dental practice management platform that includes, but is not limited to:
- Patient records and case management
- Lead tracking and conversion tools
- Treatment planning and orthodontic case workflows
- Appointment scheduling and management
- Secure messaging between dental professionals
- Reporting and analytics dashboards
- Document and file management
- Patient monitoring capabilities
3. User Accounts
To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying Aalto Care immediately of any unauthorized use of your account
- Ensuring your password meets minimum security requirements (12+ characters with uppercase, lowercase, numbers, and special characters)
Aalto Care reserves the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Share your account credentials with unauthorized individuals
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Upload or transmit malicious code, viruses, or any harmful content
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use the Service to store or transmit patient data in violation of applicable healthcare regulations
5. HIPAA Compliance
Aalto Care is committed to maintaining the privacy and security of Protected Health Information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA). As a user of the Service:
- You acknowledge that a Business Associate Agreement (BAA) may be required between your organization and Aalto Care
- You agree to use the Service in compliance with HIPAA regulations and your organization's privacy policies
- You are responsible for ensuring that your use of the Service complies with all applicable local, state, and federal healthcare regulations
- Sessions are automatically terminated after periods of inactivity to protect patient data
- All data transmissions are encrypted using industry-standard protocols
6. Intellectual Property
The Service, including its original content, features, functionality, design, and underlying technology, is owned by Aalto Care and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without prior written consent.
7. Payment & Billing
If you subscribe to a paid plan, the following terms apply:
- Fees are billed in advance on a monthly or annual basis depending on your selected plan
- All fees are non-refundable unless otherwise stated or required by law
- Aalto Care reserves the right to change pricing with 30 days' prior written notice
- Failure to pay may result in suspension or termination of your access to the Service
- Clinic tier levels (Bronze, Silver, Gold, Platinum, Diamonds) may affect available features and pricing
8. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your right to access and use the Service will immediately cease
- Aalto Care will provide a reasonable period for you to export your data
- Aalto Care may retain certain data as required by law or for legitimate business purposes
- Provisions that by their nature should survive termination will remain in effect
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, whether express or implied. Aalto Care does not warrant that the Service will be uninterrupted, error-free, or completely secure. Aalto Care does not provide medical advice, and the Service is not intended to replace professional clinical judgment.
10. Limitation of Liability
To the maximum extent permitted by law, Aalto Care shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Aalto Care's total liability shall not exceed the amount paid by you for the Service during the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Aalto Care and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.
12. Changes to Terms
Aalto Care reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction in Australia.
